1. Acceptance of terms

    Calophasis Technology co., Ltd. (the “Calophasis”) welcomes you. Calophasis provides the CooKoo Services (defined below) to you subject to the following Terms of Service (“TOS”), which may be updated by us from time to time without notice to you. By accessing and using the CooKoo Services, you accept and agree to be bound by the terms and provision of the TOS. In addition, when using particular Calophasis owned or operated services, you and Calophasis shall be subject to any posted guidelines or rules applicable to such services, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into the TOS.

  2. Description of CooKoo services

    Calophasis provides users the CooKoo Services. You understand and agree that the CooKoo Services may include advertisements and that these advertisements are necessary for Calophasis to provide the CooKoo Services. You also understand and agree that the CooKoo Services may include certain communications from Calophasis, such as service announcements, administrative messages, and that these communications are considered part of Calophasis membership and you will not be able to opt out of receiving them. Unless explicitly stated otherwise, any new features that augment or enhance the current CooKoo Services, shall be subject to the TOS. You are responsible for obtaining access to the CooKoo Services, and that access may involve third-party fees. You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the CooKoo Services.

  3. CooKoo Pro

    Certain features are only accessible to users who have subscribed to CooKoo Pro.

    1. Membership

      Your CooKoo Pro subscription will renew automatically, on your monthly renewal date. Unless you cancel your subscription before your monthly billing date, you authorize us to charge your next month's subscription fee to your payment method (see "Cancellation" below).

    2. Free Trials

      1. Get a free month of CooKoo Pro toward your first purchase.
      2. Free trial eligibility is determined by Calophasis at its sole discretion and we may limit eligibility to prevent free trial abuse. We reserve the right to revoke the free trial and put your account on hold in the event that we determine that you are not eligible.
      3. We will charge your Payment Method for your monthly CooKoo Pro fee at the end of the free trial period unless you cancel your subscription prior to the end of the free trial period.
      4. Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.
    3. Payment Methods

      1. You will be charged for CooKoo Pro subscription on your credit card through your iTunes/Google account.
      2. You can manage your subscriptions in the ‘Manage subscriptions’ at CooKoo app after purchase, or in the following way:
        • If you purchased Pro on your iOS device (iPhone or iPad) via iTunes:
          You will have to go into Settings > iTunes & App Store > Apple ID to manage and cancel your subscription.
        • If you purchased Pro on Android via the Play Store:
          You will have to go into Google Play > Account to manage and cancel your subscription. You can also change the payment method used for a subscription.
      3. Your subscription period will automatically renew unless you cancel it no later than 24 hours before the end of the current period.
      4. You will not be able to cancel a subscription during the active period.
      5. You’ll be automatically billed from the date you convert to a CooKoo Pro subscription and on each renewal period until cancellation.
      6. you’ll be charged tax when we are required to do so, and you are responsible for all applicable taxes.
    4. Cancellation

      If you purchase CooKoo Pro subscription with iTunes / Google Play as a payment method and wish to cancel your CooKoo Pro subscription, you may need to do so through iTunes / Google Play to turning off auto-renew, or cancel the CooKoo Pro subscription. You may also find billing information about your CooKoo Pro by visiting your Account Settings at iTunes / Google Play.

      • You can cancel automatically renew at any time, turned off no later than 24 hours before the end of the current period.
      • You will continue to have access to the CooKoo Pro service through the end of your monthly billing period.
    5. Changes to the Price and Service Plans

      We may change our service plans and the price of our service from time to time, but we will send advanced notice of any changes to the email address associated with your CooKoo account.

  4. Privacy Protection

    CRegistration Data and certain other information about you are subject to our applicable privacy policy. For more information, see the full Calophasis Privacy Policy at https://www.cookooapp.com/terms/terms-privacy-en.html. You understand that through your use of the CooKoo Services you consent to the collection and use (as set forth in the applicable privacy policy) of this information.

  5. Notice

    Calophasis may provide you with notices, including those regarding changes to the TOS, including by but not limited to email, regular mail, SMS, MMS, text message, postings on the CooKoo Services, or other reasonable means now known or hereafter developed. Such notices may not be received if you violate this TOS by accessing the CooKoo Services in an unauthorized manner. Your agreement to this TOS constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed the CooKoo Services in an authorized manner.

  6. Modifications to CooKoo Services

    Calophasis reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the CooKoo Services (or any part thereof) with or without notice. You agree that Calophasis shall not be liable to you or to any third party for any modification, suspension or discontinuance of the CooKoo Services (or any part thereof).

  7. Termination

    You may terminate your CooKoo account, any associated email address and access to the CooKoo Services by submitting such termination request to Calophasis.

    You agree that Calophasis may, without prior notice, immediately terminate, limit your access to or suspend your CooKoo account, any associated email address, and access to the CooKoo Services. Cause for such termination, limitation of access or suspension shall include, but not be limited to, (a) breaches or violations of the TOS or other incorporated agreements or guidelines, (b)requests by law enforcement or other government agencies, (c) discontinuance or material modification to the CooKoo Services (or any part thereof), (d) unexpected technical or security issues or problems, (e) extended periods of inactivity, (f) engagement by you in fraudulent or illegal activities, and/or (g) nonpayment of any fees owed by you in connection with the CooKoo Services. Further, you agree that all terminations, limitations of access and suspensions for cause shall be made in Calophasis's sole discretion and that Calophasis shall not be liable to you or any third party for any termination of your account, any associated email address, or access to the CooKoo Services.

    Termination of your CooKoo account includes any or all of the following: (a) removal of access to all or part of the offerings within the CooKoo Services, (b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and (c) barring of further use of all or part of the CooKoo Services.
